Public offer

General

This document is a public offer by Vexel Team (the Contractor) to enter into an agreement for the design, development, setup and support of websites, bots and other digital products on the terms below. The Client is anyone who accepts this offer.

The specific scope, timeline and price are set in a project agreement — a description both parties confirmed in writing (by email or messenger). If the project agreement differs from this offer, the project agreement prevails.

Acceptance

The offer is accepted and the agreement is concluded when the Client confirms the project agreement in writing or makes the prepayment, whichever comes first. By accepting, the Client agrees to all terms of this offer.

Estimate and start

• Estimates of timeline and price are free, once you describe the task.
• Work starts after the agreement is confirmed and the prepayment is made.

Payment

• Small tasks — 100% prepayment. Larger projects — in stages: prepayment for the first stage, each next stage after the previous one is delivered.
• Support is paid monthly in advance. Unused hours don’t roll over.
• Prepayment for a started stage is non-refundable: it covers work already done.

Timeline

The timeline starts once we receive the prepayment, access and materials from you. If access or answers are delayed, the timeline shifts accordingly.

Delivery and acceptance

• We deliver tested work against the list in the agreement.
• You have 5 business days to review. Issues within the agreed scope are fixed free of charge.
• If there are no remarks within 5 business days, the work is considered accepted.
• New requests beyond the agreement are a separate task with a separate estimate.

Ownership

Code, design and other project materials become yours after full payment. Third-party libraries and our own reusable tools remain ours — you get the right to use them as part of the project.

Confidentiality

We don’t share your access, data or business details with third parties. Access is used only for the task, and we ask you to rotate it after the work is done.

Portfolio

We may show completed work in our portfolio only in anonymised form: no names, domains or data. If you’d rather we didn’t — tell us and we won’t.

Liability

• Our liability for a project is limited to the amount paid for that project.
• We’re not liable for lost profits, blocks or decisions of third parties (hosting, payment systems, rate monitors, regulators), or for the consequences of changes made without us.
• You are responsible for the legality of your business and content deployed with our work.

Ending the work

Either party may stop the work with written notice. Completed work is paid for, and its materials are handed over after payment.

Changes to the offer

The Contractor may update this offer. A new version applies to projects started after it is published; ongoing projects follow the version in force on the acceptance date.
